Plain terms for a tool that moves your screens.

The short version

- shadeOS is a remote control and automation aid for motorized shades and screens. It is not a safety device and it does not promise that a screen will move when you expect it to.
- Weather automations use third-party weather data for your site's location, not a sensor on your screen. You stay responsible for retracting or securing your screens in bad weather.
- If a screen does not move, moves at the wrong time, or is damaged, shadeOS does not cover it. Your installer's warranty covers the screens, motors, hub hardware and installation.
- Premium is a subscription. It is free during early access. We will tell you before it costs anything.
- We can change, suspend or end the service at any time. For a planned shutdown we will try to give 60 days' notice. Your hub keeps working on your home network and your physical remotes keep working.
- We keep very little data and never sell it. We protect it with reasonable measures, but no system is breach-proof and our liability is limited.
- Disputes are governed by Mississippi law and go to the Mississippi courts, one person at a time, not as class actions.
1. Who we are and what these terms cover
"shadeOS", "we", "us" and "our" mean the business that operates the shadeOS service under that name. If that business is transferred to a company, this agreement transfers with it (see Section 23). "You" means the person who creates an account or uses the Service, and anyone you allow to use it at your home.
The "Service" means the shadeOS homeowner app (whether reached at app.shadeos.io or at an installer-branded address such as rowland.shadeos.io), the shadeOS cloud that connects the app to your hub, the software and firmware that runs on the shadeOS Hub, over-the-air firmware updates, Premium, notifications, and any related support we provide.
"Your installer" means the independent business that sold you your shades or screens, installed your shadeOS Hub, and may present the app under its own name and colours. Your installer is not our employee, partner or agent. These terms are an agreement between you and shadeOS only. Any warranty, promise or commitment your installer makes is your installer's alone.
By creating an account, redeeming an invite code, or using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old and authorised to control the shades and screens at the property.
2. What the Service is, and what it is not
The Service lets you send commands to motorized shades and screens through the shadeOS Hub, and lets you set up automations that send those commands for you. Commands travel from the app to our cloud, to your hub, and then by radio to your motors.
Most shade radio protocols (for example Somfy RTS and Dooya) are one-way. The motor does not confirm that it received a command or where it stopped. Positions shown in the app are estimates based on the commands we sent and the travel times your installer configured. They can be wrong, especially after a remote has been used, after a power cut, or if a screen is obstructed. Where a position sensor is installed, its readings can also be wrong or unavailable.
The Service is not a safety, security, life-safety or property-protection system. Do not rely on it to protect people, pets, property, or the shades and screens themselves. Do not use it in any situation where a missed or mistimed command could cause injury or serious loss.
The Service is in early access. It may contain bugs, change without notice, or stop working for periods of time.
3. Your account and household
Invite codes are single-use and tied to one site. Keep your sign-in details private. You are responsible for everything done through your account and for everyone you give access to, including household members. If you think your account has been used without permission, tell your installer or contact us.
We may suspend or close an account at any time if we believe it has been misused, compromised, or used in breach of these terms.
4. Physical safety and safe operation
Motorized shades and screens move with real force. Keep people, pets, vehicles and objects clear of the travel path at all times. Remote commands and automations can move shades when nobody is watching and when nobody is home. You are responsible for deciding whether that is safe at your property, for telling everyone with access, and for stopping a movement if something is in the way.
You are responsible for following the instructions of the motor and screen manufacturer, your installer's guidance, and any building codes, homeowners' association rules or other requirements that apply to your property.
5. Weather automations and Protections
Automations such as Wind Protection and Rain Shield act on weather forecasts and observations obtained from third-party providers for the latitude and longitude of your site as recorded at installation. That data can be inaccurate, delayed, incomplete or unavailable, and conditions at your screen can differ from conditions reported for your area. There is no wind or rain sensor at your screen unless your installer has installed one, and any such sensor has its own limits.
For an automation to work, every one of the following has to work at the same time: power to your hub, your Wi-Fi and internet connection, our cloud, the weather provider, the radio link to the motor, the motor, and the screen itself. Any link can fail. A command that is sent may not arrive. A screen that starts to move may not finish. An automation may fire late, fire when it should not, or not fire at all.
Automations are an aid, not a promise. We do not promise that any shade or screen will retract or deploy before, during or after any weather event, on any schedule, or at any time. You remain solely responsible for retracting or securing your shades and screens in high wind, storms, hurricanes, hail, freezing conditions, or whenever damage is possible. If in doubt, retract manually and confirm by looking.
The same applies to Timers (for example Doggy Door) and Schedules: they can run when you are not there, and they can fail to run.
Protections are off by default. When you turn one on, you accept the limits described in this section and the limits of liability in Sections 15 and 16.
6. Hardware, installation and warranty
Your shades, screens and motors were supplied and installed by your installer, and any warranty for them comes from your installer or their manufacturer, on their terms. The shadeOS Hub is made by shadeOS and supplied to you through your installer. Your installer installed and configured it, including mounting, power, network, motor limits, travel times and radio pairing, and is your first point of contact for any problem with it. The Warranty page in the app shows what your installer has told us about the warranty they give you; it is your installer's statement, not ours.
To the fullest extent the law allows, shadeOS gives no warranty on any hardware, including the hub, beyond whatever your installer has agreed with you, and is not responsible for how equipment was installed or configured. Where the law does not allow a warranty on goods to be excluded, your remedy for a defective hub is limited, as far as the law allows, to repair or replacement of the hub through your installer.
Using the hub. The hub is for indoor use, with the power supply it came with, in a dry place with air around it. Do not open, modify or reflash it, or connect anything to it other than what your installer set up. Keep it powered and connected to your network: automations cannot run while it is off or offline. You may get a notification when it goes offline, but do not rely on that (see Section 9). Moving it, changing your Wi-Fi, or replacing your router can stop it working until your installer reconfigures it.
7. Firmware and app updates
We may update the app and send firmware to your hub over the air at any time, with or without notice. Updates may add, change or remove features, and may be required for the Service to keep working. An update can fail and may need your installer's help to recover. Do not unplug the hub while an update is in progress.
8. Premium
Everything on the Automations tab, including Protections, Timers and Schedules, is part of Premium. Premium is a subscription service operated by shadeOS. During early access, Premium is free. Your installer may choose to include Premium for your site, in which case the app shows it as "Included".
We may introduce a price for Premium, or change it, by giving you at least 60 days' notice in the app or by email. If you do not accept the new price, Premium ends for your site when the notice period expires. Automations that depend on Premium stop running when Premium ends. Basic shade control is not part of Premium, but remains subject to Section 11.
Nothing is charged during early access. Once payment is introduced, additional terms about billing, renewal and cancellation will apply and will be shown to you before you pay. Except where the law requires otherwise, payments are not refundable.
9. Notifications
Push notifications and emails depend on your device, browser, operating system and third-party delivery services. They can be delayed, blocked or lost. Never rely on a notification to tell you that something did or did not happen at your home.
10. Your installer's role and access
To support you, your installer can see your site's status in their installer console, including which shades exist, whether the hub is online, shade activity, automation runs, hub diagnostics and alerts. Your installer may present the app under its own branding. Your installer is responsible for its own conduct, promises and services.
If your installer's relationship with us ends, we may move your site to the plain shadeOS app, or your access may end. Section 11 applies.
11. Changes, suspension and ending the Service
We may change, limit or discontinue any part of the Service at any time. We may suspend the Service, or your access to it, for maintenance, security, legal reasons, non-payment once payment applies, suspected misuse, or to protect the Service or other users.
We may end the Service entirely, at any time and for any reason, including a decision to stop developing or supporting it. If we plan to shut the Service down entirely, we will try to give you at least 60 days' notice by email or in the app. We may end the Service immediately without notice where the law, a security issue, a court order, or circumstances beyond our control require it. We have no liability to you for changing, suspending or ending the Service, with or without notice.
If the cloud Service ends, your hub continues to accept commands on your home network through its local web page for as long as it is powered and its firmware allows, and your physical remotes keep working independently of us. We may, at our option, offer a way to export your settings or move to a locally hosted version, but we are not obliged to.
12. Acceptable use
You agree not to: access the Service by any means other than the app, your hub's local page, or interfaces we document for you; attempt to access another site's or another person's data; interfere with, overload, probe or reverse engineer the cloud Service; resell or commercially exploit the Service; or use it for anything unlawful. We may investigate misuse and suspend access while we do.
13. Your data
How we collect and use personal information is described in our Privacy Policy, which is part of these terms. You give us permission to use the data generated by your site, hub, shades and automations to operate, secure, support and improve the Service, and to use it in aggregated or de-identified form that does not identify you or your home.
14. Intellectual property
The Service, including the app, the cloud, the hub firmware and all related content, is owned by shadeOS or its licensors and is protected by copyright and other laws. We grant you a limited, personal, non-transferable, revocable licence to use the Service at your property under these terms. If you send us feedback or ideas, we may use them without any obligation to you. Open-source components are listed in the app under Settings › About and are governed by their own licences.
15. Disclaimer of warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, shadeOS disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting that, we do not warrant that the Service will be uninterrupted, timely, secure or error-free; that any command will be delivered or carried out; that any position, status, weather reading or notification is accurate; that any automation will run; or that any defect will be corrected. No advice or information from us or your installer creates a warranty.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case our warranties are limited to the minimum the law requires.
16. Limitation of liability
To the fullest extent permitted by law, shadeOS and its owners, officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or use, arising out of or relating to the Service or these terms, however caused and under any theory of liability, even if we were told such damages were possible.
Without limiting the above, we will not be liable for damage to, or loss of, any shade, screen, motor, hub, window, door, structure or other property, or for any water, wind, storm, hail, ice, sun or other weather damage, that results from a shade or screen not moving, moving late, moving at the wrong time, moving to the wrong position, or moving when it should not have, whatever the cause, including a failure of the Service, of an automation, of the weather data, of a notification, of your network, or of any third party.
Our total liability to you for all claims arising out of or relating to the Service or these terms will not exceed the greater of (a) the amounts you paid to shadeOS for the Service in the 12 months before the claim, and (b) fifty US dollars (US$50).
These limits apply to claims in contract, tort (including negligence), strict liability, product liability, statute or otherwise. You agree that they are a fundamental part of the agreement, and that we would not offer the Service, or would not offer it free during early access, without them. Some jurisdictions do not allow some of these limits; in that case they apply to the maximum extent the law allows.
17. Your responsibility to us
You agree to defend, indemnify and hold harmless shadeOS and its owners, officers, employees, contractors and suppliers from any claim, loss, liability, damage or expense, including reasonable legal fees, arising out of your use of the Service, your property, your shades and screens, anyone you allow to use the Service, or your breach of these terms or of any law.
18. Security and data incidents
We use reasonable administrative, technical and physical safeguards to protect the Service and your information, including encrypted connections, per-site access controls and reputable hosting providers. No system is completely secure, and we cannot promise that the Service or your information will never be accessed without authorisation.
If we become aware of a security incident affecting your personal information, we will notify you and any authorities as the law requires. To the fullest extent permitted by law, we are not liable for any unauthorised access to, or loss, alteration or disclosure of, your information or your home's data, including where it results from the acts of third parties or from your own sign-in details being shared or compromised, and any liability we do have is subject to Section 16.
19. Third-party services
The Service relies on third parties we do not control, including hosting and database providers, content delivery networks, weather data providers, email and push notification delivery services, and the platform that distributes hub firmware. Their outages, changes, errors or terminations can affect the Service, and we are not responsible for them. Your use of any third-party product or service, including your shades, motors and remotes, is governed by that party's terms.
20. Ending your use
You may stop using the Service at any time. To close your account or have your site removed, ask your installer or contact us. Sections 13 through 21 and 23 survive any ending of these terms.
21. Governing law and disputes
These terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-law rules.
Before starting any formal proceeding, you agree to contact us at alex@shadeos.io describing the problem and give us 30 days to try to resolve it with you.
Any dispute that cannot be resolved informally will be brought only in the state or federal courts located in the county in Mississippi where shadeOS has its principal place of business, and you consent to their jurisdiction and venue. Either party may instead bring an individual claim in small claims court. To the fullest extent permitted by law, you and shadeOS each waive the right to a jury trial and the right to bring or take part in a class or representative action.
22. Changes to these terms
We may change these terms from time to time. We will post the new version at this address and update the date at the top. If a change is material, we will tell you in the app or by email before it takes effect. Using the Service after a change takes effect means you accept the new terms. If you do not accept them, stop using the Service.
23. General
These terms and the Privacy Policy are the entire agreement between you and shadeOS about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver. You may not transfer this agreement; we may transfer it to a successor or an affiliate. We are not responsible for delays or failures caused by events beyond our reasonable control, including power and internet outages, weather, and failures of third-party services. Notices to you may be given in the app or by email to the address on your account. Notices to us go to alex@shadeos.io.
